Wholesale Partner Agreement

Hobby Defense LLC  (“Seller”)  ·  Authorized Wholesale Partners  (“Customer”)

Effective March 1, 2026


All sales made by Hobby Defense LLC (“Seller”) to you (“Customer”) are governed by this Wholesale Partner Agreement. Please read this Agreement carefully before submitting a wholesale application. By submitting an application and placing orders, you confirm that you have read, understood, and agree to be bound by these terms.

Hobby Defense reserves the right to amend or update this Agreement at any time at its sole discretion. Continued purchasing after any amendment constitutes acceptance of the revised terms. This Agreement governs all current and future transactions between Customer and Seller unless otherwise modified in writing and signed by both parties.


1. ACCOUNT APPROVAL & SETUP

Wholesale access is granted at the sole discretion of Hobby Defense. Upon approval, Customers will receive access to the wholesale portal at wholesale.hobbydefense.com. The retail site (hobbydefense.com) does not display wholesale pricing or products.


  1. All wholesale orders must be placed through the approved portal or via email at wholesale@hobbydefense.com.

  2. Account credentials are for the Customer's use only and may not be shared with third parties.

  3. Hobby Defense reserves the right to revoke wholesale access at any time for violations of this Agreement.

2. MINIMUM ORDER QUANTITY (MOQ)

  1. Graded Card Cases are ordered by the Master Case. The minimum order is 1 Master Case per SKU.

  2. Bumpers, MagShields, One Touches, Stands, and other accessories may be combined to meet MOQ.

  3. Free shipping applies when MOQ is met. Orders below MOQ will be charged applicable shipping and handling fees.

  4. Combined accessory orders must currently be placed via email while the wholesale portal is updated.


MOQ requirements are subject to change. Active wholesale partners will be notified in advance of any changes.

 

3. REORDER FREQUENCY

To maintain an active wholesale account, customers must place at least one qualifying wholesale order every 6 months. Accounts inactive beyond this period may be reviewed and closed at Hobby Defense’s discretion. Customers whose access is closed may re-apply at any time.

4. PRICING & CONFIDENTIALITY

  1. Wholesale pricing is confidential and provided for the Customer’s internal business use only.

  2. Customers may not publish, share, or disclose wholesale pricing to any third party without prior written consent from Hobby Defense.

  3. Prices are subject to change without notice. All orders will be invoiced at the prices in effect at the time the order is confirmed.

  4. Violation of pricing confidentiality will result in immediate and permanent termination of wholesale access. Hobby Defense reserves the right to seek compensation for any damages resulting from a breach.

5. MINIMUM ADVERTISED PRICE (MAP) POLICY

All Hobby Defense products are subject to a Minimum Advertised Price (MAP) policy. Customers must adhere to the following:


  1. Customers may not publicly advertise any Hobby Defense product below MAP in any channel — including but not limited to online listings, social media, in-store signage, printed materials, or third-party marketplaces.

  2. Our retail website (hobbydefense.com) is intentionally priced above MAP to protect your ability to compete and win on price with your own customers.

  3. Private, one-on-one discounts below MAP to individual customers are permitted, provided they are not publicly advertised or made available to all customers.

  4. MAP violations will result in a written warning. Repeat violations may result in suspension or permanent termination of wholesale access.


MAP pricing is distinct from your wholesale cost. You set your own retail price — MAP simply establishes the floor for any public-facing advertising.

 

6. APPROVED SALES CHANNELS

Customer is authorized to sell Hobby Defense products through the following channels:


  1. Physical retail stores and card shops

  2. Card shows, trade events, and hobby conventions

  3. Customer’s own e-commerce website or online store

  4. eBay, TCGPlayer, and similar secondary marketplace platforms


The following channels are prohibited without prior written approval from Hobby Defense:


  1. Amazon — Hobby Defense reserves the exclusive right to sell on this platform.

  2. Walmart Marketplace — exclusive to Hobby Defense.

  3. Temu, Shein, Wish, or similar discount marketplace platforms.


Selling on prohibited platforms without written authorization will result in immediate termination of wholesale access.

 

7. PAYMENT

  1. Payment is required in full before any order is shipped.

  2. Accepted payment methods: Credit Card, PayPal (via the wholesale portal), or separate invoice arrangement upon prior request.

  3. Hobby Defense does not offer net payment terms unless separately agreed upon in writing.

8. SHIPPING

  1. Orders are typically processed and shipped within 1–3 business days. Same-day shipping is available for orders placed before 10:00 AM CST.

  2. Free shipping applies to qualifying orders (MOQ met) shipping to most domestic destinations.

  3. West Coast shipments require a freight evaluation prior to ordering — please contact us for a quote before placing your order.

  4. Hobby Defense is not responsible for delays caused by the carrier once the order has shipped.

  5. Risk of loss passes to Customer upon handoff to the carrier.

9. PRODUCT INSPECTION & DEFECTS

  1. Customer is responsible for inspecting all merchandise upon receipt.

  2. Any visible damage must be noted with the delivery carrier at the time of receipt.

  3. Claims for defects, shortages, or specification issues must be submitted in writing to wholesale@hobbydefense.com within 30 days of receipt.

  4. If a defective product is sold to an end customer, Customer is responsible for managing the return or refund with that customer. Hobby Defense will work with Customer on legitimate defect claims and may issue store credit toward a future wholesale order where appropriate.

  5. Hobby Defense is not responsible for replacing products or issuing refunds beyond the terms stated in this section.

10. RETURNS

  1. Returns are accepted on select items up to a defined quantity. Contact wholesale@hobbydefense.com before returning any product to confirm eligibility.

  2. All approved returns will be issued as store credit toward a future wholesale order. No cash or card refunds will be issued.

  3. Return shipping costs are the sole responsibility of the Customer and will not be reimbursed.

  4. Unauthorized returns may be refused or returned to sender at Customer’s expense.

11. BRAND USE & SOCIAL MEDIA

  1. Customer may use Hobby Defense-provided marketing materials to promote products through approved sales channels and social media.

  2. All Hobby Defense products displayed in Customer content must reflect their intended use and be consistent with Hobby Defense brand guidelines.

  3. Customer must not use offensive, obscene, racist, discriminatory, or otherwise harmful language in any content where Hobby Defense is tagged, mentioned, or associated.

  4. Customer may not alter, modify, or misrepresent the Hobby Defense brand, logo, trademarks, or product imagery in any way.

  5. Hobby Defense reserves the right to terminate this Agreement without notice if Customer’s actions are deemed to have negatively impacted the Hobby Defense brand or reputation.

12. INTELLECTUAL PROPERTY

All content associated with Hobby Defense — including but not limited to product names, logos, trademarks, photographs, product imagery, copy, and packaging design — is the exclusive property of Hobby Defense LLC or its licensed providers. Customer acknowledges that no ownership rights are transferred through this Agreement. Trademarks and brand assets may not be modified, sublicensed, or used outside the scope of this Agreement without prior written consent from Hobby Defense.

13. COUNTERFEIT & REPLICA PRODUCTS

Any Customer found to be selling, distributing, or facilitating the sale of counterfeit, replica, or unauthorized Hobby Defense products will be immediately and permanently removed from the wholesale program. No exceptions. Hobby Defense reserves the right to pursue all available legal remedies in such cases.

14. CHANGES TO PRODUCTS & TERMS

Hobby Defense reserves the right to modify product specifications, packaging, pricing, and these Agreement terms at any time at its sole discretion. All orders are subject to product availability. Hobby Defense will make reasonable efforts to notify active wholesale partners of material changes in advance.

15. TERMINATION

  1. Either party may terminate this Agreement with written notice.

  2. Hobby Defense may terminate immediately and without notice for: MAP violations, confidentiality breaches, sales on prohibited platforms, brand misuse, counterfeit activity, or any other material violation of this Agreement.

  3. Upon termination, Customer must immediately cease all use of Hobby Defense brand assets and marketing materials.

  4. Any outstanding balances remain due and payable upon termination.


Customers whose accounts are closed for non-violation reasons (e.g., inactivity) may re-apply at any time.

 

16. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the appropriate courts of Illinois.
